Codendesigner — Web Design & Development Agency

Welcome to Codendesigner! These Terms and Conditions ("Agreement") outline the rules, rights, and responsibilities between Codendesigner ("we", "us", "our") and the Client ("you", "your").

By engaging with our services, you agree to be bound by this Agreement.

1. Services

Codendesigner provides web design and development services, including but not limited to:

• Custom website design (WordPress, Shopify, LearnWorlds, etc.)
• E-commerce solutions
• LMS platforms
• Website maintenance & performance optimization
• Email marketing integration
• UI/UX and Figma template design

A detailed Scope of Work (SOW) will be provided per project, outlining deliverables, timelines, and costs.

2. Client Responsibilities

To ensure timely delivery, the Client agrees to:

• Provide all necessary content, materials, and approvals within agreed timelines.
• Review and respond to communications in a timely manner.
• Ensure they have the rights/licenses to all assets (images, text, logos, etc.) provided.

3. Payment Terms

• A 50% deposit is required before the project begins unless otherwise agreed.
• The final 50% is due upon project completion or before go-live, whichever comes first.
• Maintenance or ongoing services will be billed monthly or as agreed.
• Late payments may result in paused services and/or interest charges (2% monthly).
• All pricing is in USD (or local currency when applicable), and inclusive of service-specific terms listed in the project proposal.

4. Revisions and Scope Changes

• Each project includes 3 revision rounds.
• Additional revisions or requests beyond the agreed scope will be billed at our standard hourly rate ($30/hr unless otherwise agreed).
• Significant changes require a written Change Order.

5. Intellectual Property

• Upon full payment, the Client owns the final website and its content, excluding any third-party software/plugins/licenses.
• Codendesigner reserves the right to showcase the project in our portfolio and marketing materials unless the Client requests otherwise in writing.

6. Third-Party Services

Codendesigner may recommend or integrate third-party services (e.g., hosting, payment gateways, analytics). We are not liable for:

• Downtime or errors caused by third-party platforms.
• Policy changes, pricing adjustments, or service outages.

7. Warranties & Support

• We offer 30 days of complimentary post-launch bug fixes.
• Ongoing support or maintenance beyond this window requires a separate agreement.
• We are not responsible for issues caused by third-party interference, software updates, or unapproved modifications.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, or business practices disclosed during the course of the project.

9. Termination & Refunds

• Either party may terminate the project with 14 days' written notice.
• If terminated early, the Client agrees to pay for work completed up to that point.
• Deposits are non-refundable once significant work has begun.

10. Limitation of Liability

Codendesigner is not liable for:

• Loss of business, data, or profits.
• Issues arising from client-side server errors, hosting problems, or misuse.
• Damages exceeding the amount paid for the service.
• We don’t work with any websites that that is related to gambling, alcoholic or can be harmful for users.

11. Legal & Jurisdiction

This Agreement shall be governed by the laws of Bangladesh, or mutually agreed jurisdiction depending on client location. Disputes will first be resolved through informal negotiation, and if unresolved, through arbitration or court action.

12. Portfolio Display & Promotional Rights

12.1 Right to Showcase Work Upon completion or during the course of a project, Codendesigner reserves the right to feature the completed work — including but not limited to website designs, development builds, email marketing templates, and digital assets — as part of its professional portfolio on its official website, social media channels, and other promotional materials.

12.2 Scope of Display Portfolio use may include screenshots, screen recordings, live links, case study summaries, design previews, and before/after comparisons. Codendesigner may describe the nature of the project, the tools and technologies used, and the results achieved, where applicable.

12.3 Confidentiality Protection Notwithstanding the above, Codendesigner shall not disclose any information that the Client has designated as confidential, including but not limited to: proprietary business data, internal pricing structures, unreleased products, trade secrets, backend logic, API keys, or any information explicitly marked confidential in writing by the Client. Only the visual and publicly accessible elements of the work will be displayed.

12.4 Client Opt-Out Clients who do not wish their project to be featured in Codendesigner's portfolio must notify Codendesigner in writing prior to project commencement or within 14 days of project delivery. Codendesigner will honor all reasonable opt-out requests.

13. Amendments

Codendesigner reserves the right to update these Terms at any time. Continued use of our services implies acceptance of any revised terms.
